• Content includes any information, outputs, responses, documents, files, or materials generated, shared, or made available through the platform.
• Uploaded Data refers to any files, documents, knowledge base materials, prompts, or information provided by users.
• Integrations refer to third-party tools, applications, and services connected to Neoro.

2. Scope of Services

Neoro provides tools and services designed to improve collaboration and productivity, including but not limited to:

• Creating and managing AI agents.
• Automating workflows and repetitive tasks.
• Uploading and maintaining knowledge bases.
• Integrating third-party applications and services.
• Assigning and tracking tasks across colleagues.
• Facilitating team conversations and meetings.
• Generating AI-powered responses, summaries, and recommendations.

3. Eligibility

• Users must be at least 18 years of age to use the platform.
• Users agree to provide accurate and up-to-date information during registration and use.
• If using Neoro on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. User Responsibilities

Users are responsible for:

• Maintaining the confidentiality of their account credentials.
• Ensuring the accuracy and legality of information uploaded to the platform.
• Reviewing AI-generated outputs before acting upon them.
• Using the platform in compliance with applicable laws and regulations.
• Respecting the intellectual property and rights of others.

5. Privacy and Data Use

Neoro values user privacy and takes reasonable measures to protect user data.

• Information collected is limited to what is necessary to provide and improve the platform's services.
• Uploaded Data may be processed to enable AI functionality, workflow automation, and related features.
• Data is protected using industry-standard security practices, including encryption and access controls.
• User information will not be disclosed to third parties except as required by law, to provide services, or with user authorization.
• Users may request access to, correction of, or deletion of their data in accordance with applicable laws and Neoro's Privacy Policy.

6. Subscription and Billing

Neoro may offer both free and paid subscription plans.

• Features and usage limits vary depending on the selected plan.
• Paid subscriptions may be billed monthly or annually.
• Subscription fees are non-refundable except where required by applicable law.
• Users may upgrade, downgrade, or cancel their subscriptions through the platform.
• Changes to subscription pricing will be communicated in advance.

7. Third-Party Integrations

Neoro may enable users to connect third-party applications and services.

• Users are responsible for authorizing and managing connected integrations.
• Neoro is not responsible for the availability, accuracy, or practices of third-party services.

8. Limitation of Liability

• Neoro does not guarantee uninterrupted, error-free, or always-accurate service.
• AI-generated outputs may contain inaccuracies, omissions, or outdated information.
• Users assume responsibility for decisions made based on platform outputs.
• To the fullest extent permitted by law, Neoro, its affiliates, employees, and partners shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from the use of, or inability to use, the platform.

9. Intellectual Property

• Neoro and its licensors retain all rights, title, and interest in the platform, including its technology, software, branding, and content.
• Users retain ownership of the data and content they upload.
• Users grant Neoro a limited license to process Uploaded Data solely for the purpose of delivering and improving the services.
• Users may not copy, modify, distribute, sell, or reverse-engineer any part of the platform without prior written consent.

10. Suspension and Termination

Neoro reserves the right to suspend or terminate user access if:

• These Terms and Conditions are violated.
• Users engage in activities that threaten the security, integrity, or operation of the platform.
• Fraudulent, abusive, or unlawful conduct is detected.
